Terms and Conditions

AI Chatbot Service

01. Definitions

For the purposes of this document, the following terms shall have the meaning assigned to them below:

  • Zolvion: The company that owns the Zolvion platform, domiciled in Colombia, provider of the AI chatbot service.
  • Client: The natural or legal person who contracts the Zolvion service for use in their business.
  • Service: The technological solution provided by Zolvion that allows the Client to integrate an AI virtual assistant on their website and/or WhatsApp Business.
  • Chatbot: The configurable virtual assistant that automatically answers questions from the Client's end users.
  • End Users: The people who interact with the Client's chatbot.
  • Founders Program: Contracting scheme described in the Founders Program document that governs the exclusive conditions for the first five (5) clients.

02. Purpose of the service

Zolvion offers the Client an AI chatbot platform that includes:

  • Admin panel to create and configure bots, upload knowledge documents and manage conversations.
  • Embeddable widget for websites that allows the Client to integrate the chatbot on their page.
  • Integration with WhatsApp Business via Meta's official API (available depending on the contracted plan). The Client must have an active WhatsApp Business account in Meta Business Manager. Zolvion guides the Client through the connection process during implementation.
  • Automatic lead capture and notifications to human advisors when the conversation requires it.
  • Technical support in accordance with the contracted plan.

03. Plans and prices

3.1. Available plans

Zolvion offers three main monthly subscription plans:

  • Web Widget Plan: Chatbot available only on the Client's website. Includes 2,000 monthly conversations.
  • WhatsApp Plan: Chatbot available on WhatsApp Business. Includes 2,000 monthly conversations.
  • Total Plan: Includes both channels (website and WhatsApp). Includes 2,000 monthly conversations.

3.2. Regular prices

The current regular prices are published on Zolvion's official website (https://zolvion.com). Zolvion may update these prices at any time, notifying active Clients with at least thirty (30) calendar days in advance.

3.3. Additional conversations

If the Client exceeds the number of monthly conversations included in their plan, additional conversations will be billed at $100 COP per conversation, which will be charged in the following month's invoice. The Client will receive automatic notifications upon reaching 80%, 100% and 150% of their monthly quota.

3.4. Founders Program

Zolvion offers a Founders Program aimed at the first five (5) clients. This program grants an exclusive launch price during an initial period. The complete conditions are detailed in the Founders Program document, which forms an integral part of these Terms and Conditions for Clients enrolled in said program.

3.4.1. Launch Price of the Founders Program

The Launch Price applicable to Founding Clients is guaranteed and unmodified during the first six (6) calendar months counted from the contracting date. During this period, the price will not be adjusted for any reason.

3.4.2. End of the Founder period

Upon completion of the six (6) months of the Founder period, the service is automatically renewed at the current regular price of the plan contracted at that time. Zolvion will notify the Founding Client with thirty (30) calendar days in advance at the registered email address.

If the Founding Client does not wish to continue at the regular price, they may cancel the service without penalty by notifying in writing to hola@zolvion.com before the end date of the Founder period. If no cancellation is notified, it will be understood that the Client accepts to continue the service at the current regular price.

3.4.3. No permanent discount

Once the six (6) month period ends, the Founding Client moves to regular conditions with no additional discounts. The Founders Program is a temporary courtesy as recognition to the pioneering client, not a permanent discount.

3.5. Implementation

Plans contracted under the Founders Program include full implementation of the Service at no additional cost, as described in clause 3.4. Implementation covers initial configuration, training of the Chatbot with the Client's information, and installation of the Service on the contracted channels.

Clients who contract any of the plans at the regular current price will pay a one-time setup fee of three hundred thousand Colombian pesos ($300,000 COP), invoiced at the time of contracting and prior to the start of the monthly subscription. This fee covers the same tasks described in the previous paragraph.

04. Billing and payments

4.1. Payment method

The Client will pay the Service in advance on a monthly basis. Billing is performed during the first five (5) calendar days of each month via bank transfer, PSE, or any other electronic means enabled by Zolvion.

4.2. Default in payment

If the Client does not make payment within five (5) calendar days following the billing date, Zolvion may:

  • Temporarily suspend the Service until payment is regularized.
  • Charge default interest equivalent to the maximum legal rate in force in Colombia.
  • Cancel the agreement if the default exceeds thirty (30) calendar days.

4.3. Taxes

Published prices do not include VAT or other applicable taxes, which will be added to the invoice in accordance with current Colombian legislation.

05. Warranty and cancellations

5.1. 30-day satisfaction guarantee

Zolvion offers every new Client a thirty (30) calendar day guarantee counted from the Service activation date. If during this period the Client considers that the Service does not meet what was offered, they may request a full refund of the amount paid, notifying in writing to hola@zolvion.com.

5.2. Service cancellation

The Client may cancel the Service at any time by notifying in writing at least fifteen (15) calendar days in advance of the monthly renewal date. The cancellation will apply to the next billing period and no refund will be made for the current month, except as provided in the 30-day guarantee.

5.3. Cancellation during the Founders Program

Clients enrolled in the Founders Program may cancel the Service at any time during the Founder period without any penalty. They will only pay for the months actually used.

5.4. Cancellation for breach

Zolvion reserves the right to cancel the Service immediately and without prior notice in the event that the Client:

  • Uses the platform for illegal, fraudulent purposes or in violation of Colombian regulations.
  • Sends unsolicited mass messages (spam) or prohibited content.
  • Incurs default exceeding thirty (30) calendar days.
  • Attempts to access other accounts or third-party data without authorization.

06. Responsibilities

6.1. Client responsibilities

  • Provide truthful information upon registration and keep their contact details up to date.
  • Correctly configure the chatbot with accurate and legal information about their business.
  • Respect WhatsApp Business usage policies and comply with Meta rules if using the WhatsApp channel.
  • Safeguard their admin panel access credentials and not share them with unauthorized third parties.
  • Ensure compliance with law 1581 of 2012 and other applicable regulations on personal data processing of their End Users.

6.2. Zolvion responsibilities

  • Keep the Service available with a target availability of 99% monthly (excluding scheduled maintenance and force majeure causes).
  • Provide technical support in accordance with the contracted plan.
  • Notify the Client about important changes to the Service with at least thirty (30) days in advance.
  • Protect the Client's data in accordance with Zolvion's Privacy Policy.

6.3. Limitation of liability

Zolvion will not be responsible for:

  • Incorrect chatbot responses resulting from inaccurate information uploaded by the Client.
  • Inaccurate, imprecise, incomplete, or inappropriate responses generated by the artificial intelligence models used by the platform. Generative AI may produce incorrect content ('hallucinations') as part of its technological nature, and it is the Client's responsibility to review, validate, and supervise the information the Chatbot shares with its End Users.
  • Legal, commercial, or reputational consequences arising from decisions made by End Users based on Chatbot responses.
  • Service interruptions caused by external providers (OpenAI, Meta, Internet infrastructure).
  • Loss of revenue, customers, or data arising from the use or inability to use the Service.
  • Commercial decisions made by the Client based on information generated by the chatbot.

6.4. Use of generative artificial intelligence

The Service uses generative artificial intelligence models (such as OpenAI GPT) to generate automatic responses in conversations. The Client acknowledges and accepts the following inherent characteristics of this technology:

  • Generative AI may produce responses that contain errors, inaccuracies, or outdated information, even when the documents uploaded by the Client are correct.
  • The Chatbot's responses are generated probabilistically and may vary across similar interactions, even when the same base documents are used.
  • The Chatbot may occasionally generate content that does not accurately reflect the Client's information — a phenomenon known as 'hallucination' in AI systems.
  • Zolvion implements reasonable technical measures (such as retrieval-augmented generation and system rules) to minimize these risks but cannot eliminate them completely.

The Client is solely responsible for reviewing, validating, and supervising the quality of the responses the Chatbot delivers to its End Users, especially in sensitive contexts such as pricing, schedules, medical, legal, financial information, or any critical data for their operations. Zolvion does not guarantee the absolute accuracy of responses generated by the Chatbot.

The Client is advised to configure the Chatbot to escalate conversations involving critical decisions to a human advisor, and to keep the information in their base documents up to date.

Zolvion's total liability to the Client, for any reason, will not exceed the amount paid by the Client in the last three (3) months.

07. Intellectual property

The Zolvion platform, its source code, design, brand, logo and documentation are the exclusive property of Zolvion. The Client only receives a non-exclusive, non-transferable license of use limited to the duration of the contract.

The documents, texts, images and other content that the Client uploads to the platform are and will remain their property. The Client authorizes Zolvion to process them exclusively to provide the Service.

08. Confidentiality and data processing

Both parties undertake to maintain in strict confidence the commercial, technical and operational information exchanged during the term of the contract.

The processing of personal data of the Client and their End Users is governed by Zolvion's Privacy Policy, which forms an integral part of these Terms and Conditions and is available at https://zolvion.com/privacidad.

Zolvion complies with Colombian Law 1581 of 2012 (General Regime for the Protection of Personal Data) and applies reasonable technical and organizational measures to protect information.

09. Modifications to these Terms

Zolvion may update these Terms and Conditions at any time, notifying active Clients with at least thirty (30) calendar days in advance at the registered email address.

If the Client does not agree with the modifications, they may cancel the Service without penalty within the notification period. Continued use of the Service after the effective date of the modifications constitutes acceptance thereof.

The modifications do not affect the specific conditions of Clients enrolled in the Founders Program during their active Founder period.

10. Applicable law and dispute resolution

These Terms and Conditions are governed by the laws of the Republic of Colombia.

Any dispute arising in connection with these Terms will be attempted to be resolved amicably between the parties. If this is not possible, the parties agree to submit to the jurisdiction of the competent judges of the city of Bucaramanga, Colombia, with express waiver of any other forum that may correspond to them.
